Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PraxisEMS platform and any related services (collectively, the "Service") operated by Praxis EMS LLC ("PraxisEMS," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you are a Program Director, you accept these Terms on behalf of your institution and all users you enroll, including students and staff.

1. Description of Service

PraxisEMS is a clinical education management platform for paramedic and EMS educational programs. It enables programs to track student clinical hours, skills, patient contacts, rotation schedules, formative evaluations, and related accreditation documentation.

PraxisEMS is not a medical device, is not intended to support clinical decision-making, and is not a credentialing or accreditation authority. The Service is an administrative and documentation tool only.

2. Accounts and User Roles

The Service supports several user roles: Program Director, Medical Director, Faculty, Preceptor, and Student. Program Directors register the program account and are responsible for all activity that occurs under that account.

  • You must provide accurate information when registering. You may not impersonate another person or create an account on behalf of someone else without authorization.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  • Students and staff are enrolled by Program Directors, who accept these Terms on their behalf. Program Directors must ensure that enrolled users are made aware of and comply with these Terms.

3. Subscriptions, Billing, and Payment

Access to the Service for Program Directors is seat-based and billed through Stripe. By providing payment information, you authorize PraxisEMS to charge the applicable fees.

  • Seat purchases are one-time charges per seat per cohort unless otherwise specified.
  • No refunds are provided for purchased seats once students have been granted access.
  • We reserve the right to change pricing at any time with at least 30 days' notice to active customers.
  • Failure to maintain valid payment information may result in suspension of access.

4. Free Trials and Early Access

PraxisEMS may, at its sole discretion, grant free trial or early access to the Service for evaluation purposes. The following conditions apply to trial access:

  • Trial access is granted at no charge and may be revoked or modified at any time without notice.
  • No service level agreement (SLA) or uptime guarantee applies during a trial period.
  • Features available during a trial may differ from those available in paid subscriptions.
  • All other provisions of these Terms apply during trial access.
  • At the conclusion of a trial, continued access requires a paid subscription. Trial data may be retained for a reasonable period to facilitate conversion.

5. Acceptable Use

You agree not to use the Service to:

  • Enter, store, or transmit any Protected Health Information (PHI) as defined under HIPAA. The Service is not designed or intended to be HIPAA-compliant as a covered entity or business associate. Patient contacts are tracked by type and category only — individual patient identifiers must not be entered.
  • Violate any applicable law or regulation.
  • Share enrollment codes or credentials outside the intended cohort.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service to develop a competing product or service.

6. Data Ownership and License

You own your data. Program data (student records, shift logs, clinical entries, and related content) remains the property of the program that generated it.

By using the Service, you grant PraxisEMS a limited, non-exclusive, royalty-free license to process, store, and transmit your data solely to provide and improve the Service. We will not sell, share, or use your data for purposes unrelated to delivering the Service.

Upon termination of your account, you will have 30 days to export your data. After that window, your data will be deleted from active systems. Deletion from backups may take up to 90 additional days.

7. Intellectual Property

PraxisEMS owns all rights, title, and interest in the Service, including the platform software, design, AI-generated content (such as Resource Assessment Matrix analysis drafts), and all underlying technology. Nothing in these Terms transfers any intellectual property rights to you.

8. AI-Assisted Features

The Service includes AI-assisted features (such as RAM analysis) powered by third-party AI providers. When you use these features:

  • Input data and context you provide may be transmitted to a third-party AI provider to generate a response.
  • AI-generated content is provided as a starting point and draft only. It is your responsibility to review, verify, and finalize all AI-generated text before use in official documentation.
  • PraxisEMS makes no warranty as to the accuracy, completeness, or fitness of AI-generated content for any particular purpose.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

PraxisEMS does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. PraxisEMS is not responsible for any clinical outcomes, accreditation decisions, or regulatory findings arising from your use of the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRAXIS EMS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

IN NO EVENT SHALL PRAXIS EMS LLC'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE FEES YOU PAID TO PRAXIS EMS LLC IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Praxis EMS LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) data you submit to the Service; or (d) your violation of any third-party rights.

12. Termination

Either party may terminate the relationship at any time. PraxisEMS may immediately suspend or terminate your account for violation of these Terms, non-payment, or conduct we determine to be harmful to the Service or other users.

Upon termination, your right to access the Service ceases immediately. The data export window described in Section 6 applies.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Maryland, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved through binding individual arbitration under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email to the address associated with your account. Continued use of the Service after the effective date of updated Terms constitutes acceptance.
